Johannes Egelhof

Johannes Egelhof is a German lawyer specializing in corporate law, with a particular focus on M&A transactions, company acquisitions and disposals, and on restructuring and distressed situations. He is a founding partner of Maxfeld.legal, a business law firm based in Nuremberg, Germany, dedicated to cross-border matters, where he advises companies, shareholders and investors.

His clients range from German Mittelstand companies to international groups and investors. He assists them with acquisitions and equity investments, succession and buy-out structures, complex restructurings, and entry into the German market or expansion abroad. A significant part of his practice is ongoing rather than transactional, acting as external general counsel to companies that do not maintain an in-house legal function.

Cross-border transactions form a substantial part of his work. As Counsel with LYNX Bucharest, he also handles Romanian and wider CEE matters directly, which allows him to run multi-jurisdictional deals from Germany without losing time or precision at the border. Distressed M&A and cross-border corporate restructurings are a recurring feature of that practice. His industry experience is strongest in industrial manufacturing, automotive, logistics, energy and trade, including international supply chains.

He studied law with a focus on tax and corporate law at the University of Bayreuth and completed the additional business qualification “Wirtschaftsjurist Universität Bayreuth”, with an emphasis on accounting and IFRS. He holds an LL.M. in insolvency law and reorganisation proceedings from Trier University of Applied Sciences and is a trained mediator.

As a Wirtschaftsjurist, Johannes assesses each project from both a legal and a commercial perspective. He speaks German and English.
