{"id":27820,"date":"2023-08-30T21:58:35","date_gmt":"2023-08-30T19:58:35","guid":{"rendered":"https:\/\/www.legalmondo.com\/?p=27820"},"modified":"2025-01-06T21:27:41","modified_gmt":"2025-01-06T20:27:41","slug":"distribution-contracts-in-spain","status":"publish","type":"post","link":"https:\/\/www.legalmondo.com\/pt-pt\/2023\/08\/distribution-contracts-in-spain\/","title":{"rendered":"Distribution Contracts in Spain"},"content":{"rendered":"\r\n<p>In this first episode of Legalmondo&#8217;s Distribution Talks series, I spoke with <a href=\"https:\/\/www.legalmondo.com\/it\/network\/ignacio-alonso\/\" target=\"_blank\" rel=\"noopener\">Ignacio Alonso<\/a>, a Madrid-based lawyer with extensive experience in international commercial distribution.<\/p>\r\n<p><iframe loading=\"lazy\" title=\"Distribution Agreements Talks - Episode 1: Spain\" width=\"500\" height=\"281\" src=\"https:\/\/www.youtube.com\/embed\/ZmNjMrdKDJM?feature=oembed\" frameborder=\"0\" allow=\"accelerometer; autoplay; clipboard-write; encrypted-media; gyroscope; picture-in-picture; web-share\" referrerpolicy=\"strict-origin-when-cross-origin\" allowfullscreen><\/iframe><\/p>\r\n\r\n\r\n\r\n<h2 class=\"wp-block-heading\">Main discussion points:<\/h2>\r\n\r\n\r\n\r\n<ul class=\"wp-block-list\">\r\n<li>in Spain, <strong>there is no specific law <\/strong>for distribution agreements, which are governed by the general rules of the Commercial Code;<\/li>\r\n\r\n\r\n\r\n<li>therefore, it is essential to draft a <strong>clear and comprehensive contract<\/strong>, which will be the primary source of the parties&#8217; rights and obligations;<\/li>\r\n\r\n\r\n\r\n<li>it is also good to be aware of <strong>Spanish case law on <\/strong>commercial distribution, which in some cases applies the law on commercial agency by analogy.<\/li>\r\n\r\n\r\n\r\n<li>the <strong>most common issues <\/strong>involving foreign producers distributing in Spain arise at the time of <strong>termination of the relationship<\/strong>, mainly because case law grants the terminated distributor <strong>an indemnity of clientele or goodwill<\/strong> if similar prerequisites to those in the agency regulations apply.<\/li>\r\n\r\n\r\n\r\n<li>another frequent dispute concerns the <strong>adequacy of the notice period for terminating the contract<\/strong>, especially if there is no agreement between the parties: the advice is to follow what the agency regulations stipulate and thus establish a minimum notice period of one month for each year of the contract&#8217;s duration, up to 6 months for agreements lasting more than five years;<\/li>\r\n\r\n\r\n\r\n<li>regarding dispute resolution tools, mediation is an option that should be carefully considered because it is quick, inexpensive, and allows a shared solution to be sought flexibly without disrupting the business relationship.<\/li>\r\n\r\n\r\n\r\n<li>if mediation fails, the parties can provide for <strong>recourse to arbitration or state court<\/strong>.
