When looking for company information in a foreign jurisdiction, it is always a challenge to know which websites are official, which documents are binding, which websites are reliable and which ones need to be double-checked with official ones.

This online guide on company information aims to highlight how to access company information in numerous jurisdictions around the world, what information and which documents are available to the public and at what cost, in what language are the websites, what other company-related information is accessible, or whether you can obtain information on pending litigation against a company, its shareholders or legal representative in each country.

How is it possible to access company information in the Czech Republic?

Company information is publicly available on the Commercial (or Companies) Register (“Obchodní rejstřík”) only available in Czech on the Ministry of Justice website at: http://www.justice.cz.

Moreover, data is also available on the Administrative Register of Economic Subjects (ARES), provided by the Ministry of Finance, which collects data from different registers, including the abovementioned public register, the VAT register and the trade licensing register. It is available in Czech and English on the ARES website at this link: https://ares.gov.cz. Information on this register is not legally binding.

Information on the beneficial owners of companies is available on the Register of Beneficial Owners (only in Czech), is available on the Ministry of Justice website at: https://esm.justice.cz.

The Insolvency Register records information on pending and concluded insolvency proceedings; it is available (in Czech) on the Ministry of Justice website at: https://isir.justice.cz.

Finally, the Czech Trade Licensing Register provides information in Czech and English on entrepreneurs with a licensed trade. It is available on the Licensed Trades Portal at: https://rzp.gov.cz.

What company information is available in the Czech Republic?

On the Commercial Register, you have access to the main company information, namely: the company name, number (called the IČO), date of incorporation, the address of the registered office, the legal form, statutory body, Managing or Executive Directors, shareholders and the amount of their share capital, and stock amount. Commercial register also includes the section collection of documents (“Sbírka listin”) in which all relevant documents related to company such as Articles of Association, financial statements and information about dissolution of the company shall be published.

On the ARES, the information from the Commercial Register, Tax (VAT) Register and Trade Register are collected. On the Insolvency Register, information about on-going and concluded insolvency proceedings can be found.

On the Trade Register, information on the entrepreneur, including their full name, date of birth and citizenship, and their trade, such as registered office and number, object of business and validity of the trade license, is available.

Which company documents are available in the Czech Republic?

The company documents available on the Commercial Register include the financial statements of the company can be downloaded, as well as the Articles of Association, founding documents and notarial deed. For some companies, the annual and auditor reports, minutes and decisions from Board meetings are also available.

What other company-related information is available in the Czech Republic?

Free information on trademarks, patents and utility models, industrial designs and geographical indicators is also available in the relevant databases on the website of the Industrial Property Office of the Czech Republic at: https://upv.gov.cz/. All databases are only available in Czech.

Moreover, information about insolvency proceedings is available on the Insolvency Register at: Insolvency register - gov.cz. The information is only available in Czech.

Is it possible to obtain information on pending litigation against a company, its shareholders or legal representatives?

In the Czech Republic, only a limited amount of information on pending litigation is publicly available. Information on pending litigation concerning insolvency matters can be found on the Insolvency Register, including the history of the proceedings and relevant documents. Limited access to information is also provided by the Court Records. Information about litigation such as date of the proceeding and appellation are published via application “Info soudy” https://infosoud.justice.cz/public/search.jsp.

Information in this application are available only in Czech language and user can access information only if he knows file reference number of the claim.
