{"id":7340,"date":"2018-05-24T07:00:14","date_gmt":"2018-05-24T05:00:14","guid":{"rendered":"https:\/\/www.legalmondo.com\/?p=7340"},"modified":"2020-01-05T21:03:45","modified_gmt":"2020-01-05T20:03:45","slug":"germany-termination-distribution-agreements-can-dealers-claim-delivery-anyway","status":"publish","type":"post","link":"https:\/\/www.legalmondo.com\/de\/2018\/05\/germany-termination-distribution-agreements-can-dealers-claim-delivery-anyway\/","title":{"rendered":"Germany &#8211; Termination of distribution agreements: Can dealers claim delivery anyway?"},"content":{"rendered":"<p>&#8222;<em>Rimowa owner terminates all distributor agreements in Europe<\/em>&#8220; \u2013 headlined the leading <strong>German<\/strong> business<strong> newspaper<\/strong> \u201c<a href=\"http:\/\/www.handelsblatt.com\/my\/unternehmen\/handel-konsumgueter\/alexandre-arnault-rimowa-eigentuemer-kuendigt-allen-haendlern-in-europa\/21087928.html\" target=\"_blank\" rel=\"noopener\">Handelsblatt<\/a>\u201d on 19\u00a0March 2018. The reason for termination is that Rimowa, the well-known manufacturer of high quality branded cases \u2013 after 2011 now again in 2018 \u2013 <strong>redesigns its distribution network<\/strong>: Rimowa aims at <strong>raising its quality selection criteria<\/strong> again, away from selling its products in the old-fashioned shop, to a modern shopping experience.<\/p>\n<p><strong>In principle<\/strong>, <strong>manufacturers can freely design and develop their distribution system <\/strong>according to their marketing strategy and any changing needs. Likewise, they are in principle free to choose the number and name of their sales intermediaries (distributors\/dealers, franchisees, agents, etc.). They are in principle also <strong>free to switch to selective distribution<\/strong>, with the aim of aligning the distribution of their products with certain criteria (in particular: regarding the quality of distribution), thus possibly also reducing the number of distributors. However, <strong>as an exception<\/strong>, distributors may force the manufacturer to supply them anyway \u2013 namely if the manufacturer has a significant market power. In such a case, an <strong>obligation to contract with a distributor, resulting in an obligation to deliver<\/strong> may follow from the prohibition of discrimination (laid down in sec.\u00a019 para.\u00a01, 2 no.\u00a01, 20 <a href=\"http:\/\/www.gesetze-im-internet.de\/englisch_gwb\/index.html\" target=\"_blank\" rel=\"noopener\">German Act against Restraints of Competition<\/a>).<\/p>\n<p>This issue becomes especially <strong>practically relevant<\/strong> if a <strong>manufacturer redesigns its distribution network<\/strong> \u2013 just like Rimowa did before and now does again. Rimowa switched to selective distribution in 2011\/2012 (for the advantages of selective distribution and possible restrictions of distribution, see the Legalmondo article <a href=\"https:\/\/www.legalmondo.com\/2017\/02\/ecommerce-restrictions-distributors-germany\/\">here<\/a>). To redesign its distribution network, Rimowa terminated the former distributor agreements and offered to conclude new ones \u2013 according to which the distributors newly committed themselves to present the goods in a certain way and buy and use Rimowa&#8217;s shop-in-shop system. According to Rimowa, the appearance of a former distributor did not correspond to the new business concept and the new marketing strategy, which is why the parties could not agree on concluding a new agreement. Thereupon, the <strong>distributor filed an action,<\/strong> <strong>aiming at the conclusion of a new dealer contract<\/strong> and thus delivery of his shops.<\/p>\n<p>The <a href=\"https:\/\/www.justiz.bayern.de\/gerichte-und-behoerden\/landgericht\/muenchen-1\/\" target=\"_blank\" rel=\"noopener\">District Court of Munich<\/a> <strong>denied the claim<\/strong> (decision of 09.09.2014, ref.\u00a0no.\u00a01 HKO 7249\/13), the <a href=\"https:\/\/www.justiz.bayern.de\/gerichte-und-behoerden\/oberlandesgerichte\/muenchen\/\" target=\"_blank\" rel=\"noopener\">Higher Regional Court of Munich<\/a>, however, <strong>affirmed<\/strong> such claim (decision of 17.09.2015, ref.\u00a0no.\u00a0U\u00a03886\/14 Kart) \u2013 arguing that the manufacturer had a leading position in the relevant &#8222;<em>market for high-priced and high-quality suitcases<\/em>&#8220; or, conversely, that the distributor had a dependency if and because the manufacturer\u2019s suitcases could not be replaced by equivalent others. Such dependency would in particular be indicated through a high distribution rate (i.e. the manufacturer supplied a large number of comparable distributors) as well as the unique design and the associated high recognition value. Now, the <a href=\"http:\/\/www.bundesgerichtshof.de\/EN\/Home\/home_node.html\" target=\"_blank\" rel=\"noopener\"><strong>Federal Court of Justice<\/strong><\/a> overturned the judgment and remanded for a new trial (<a href=\"http:\/\/juris.bundesgerichtshof.de\/cgi-bin\/rechtsprechung\/document.py?Gericht=bgh&amp;Art=en&amp;sid=6c94f5b310a7e392876325435843bf30&amp;nr=80725&amp;pos=20&amp;anz=26\" target=\"_blank\" rel=\"noopener\">decision of 12.12.2017, ref. no.\u00a0KZR 50\/15<\/a>). Reason: <strong>the distributor\u2019s assortment-related dependency<\/strong> (\u201c<em>Spitzenstellungsabh\u00e4ngigkeit<\/em>\u201d as special case of \u201c<em>Sortimentsbedingte Abh\u00e4ngigkeit<\/em>\u201d) on the manufacturer <strong>was not sufficiently proven<\/strong>. Although a high distribution rate was regularly decisive, it might be less meaningful in qualitative selective distribution systems as the present one. <strong>Decisive for redesigning distribution systems:<\/strong><\/p>\n<p><em>&#8222;If a supplier <strong>chooses to switch<\/strong> to a qualitative selective distribution system at a certain point in time, an assortment-related dependency is regularly indicated by a high distribution rate in <strong>the period before<\/strong>.&#8220; (Para.\u00a019)<\/em><\/p>\n<p>The manufacturer can <strong>especially<\/strong> bring forward <strong>two arguments<\/strong> <strong>against<\/strong> such alleged <strong>assortment-related dependency<\/strong>, namely that<\/p>\n<p>(i) the number of distributors the manufacturer himself supplied with his products is much lower than the total number of distributors that offered his products (i.e. including those buying the products from other sources), and that<\/p>\n<p>(ii) the <strong>distribution rate<\/strong> is to be determined on the basis of those distributors who are comparable to the distributor demanding access to the distribution system and delivery (para.\u00a027) \u2013 as the German Federal Court previously stated in terms of designer upholstery (<a href=\"http:\/\/juris.bundesgerichtshof.de\/cgi-bin\/rechtsprechung\/document.py?Gericht=bgh&amp;Art=en&amp;sid=7225ae1fc493c44698d14d834fe08497&amp;nr=23156&amp;pos=0&amp;anz=1\" target=\"_blank\" rel=\"noopener\">decision of 09.05.2000, ref. no.\u00a0KZR 28\/98, p. 12 et seq.<\/a>).<\/p>\n<h2><strong>Practical conclusions<\/strong><\/h2>\n<ol>\n<li>\u201c<em>There is nothing more constant than change<\/em>\u201d: When <strong>redesigning the distribution system<\/strong>, <strong>carefully consider<\/strong> if you want \/ need <strong>transitional arrangements<\/strong> \u2013 or better leave them out. One very good reason to leave them out: they might make it more difficult to exclude unwanted distributors.
